Terms of Service

Last updated October 11, 2026 · Runsheet is operated by SÔZ Studios Atelier, Laguna Beach, California · Questions: hello@runsheet.tech

In plain words: Runsheet is a directory of apparel factories, a place to review them, and a production dashboard for brands and consultants. Your styles, tech packs, files and client data stay yours. Reviews have to be honest and first-hand, factories can respond but never pay to remove them, and AI-drafted tech packs are a starting point you are responsible for checking before you cut fabric. The full terms are below.

1. Who we are and what these terms cover

Runsheet (runsheet.tech, app.runsheet.tech, directory.runsheet.tech and related pages and emails — together, the “Service”) is operated by SÔZ Studios Atelier (“Runsheet”, “we”, “us”), based in Laguna Beach, California. These Terms of Service (“Terms”) are a contract between you and Runsheet. By browsing the directory, creating an account, listing a factory or service, submitting a review, posting a brief, or paying for a plan, you agree to them. If you use Runsheet on behalf of a company, you confirm you can bind that company.

Our Privacy Policy explains how we handle personal information and is part of these Terms.

2. The Service

Runsheet includes: (a) a public directory of manufacturers, consultants, showrooms and suppliers; (b) community reviews of those businesses; (c) a production dashboard for brands, consultants and factories covering styles, tech packs, sampling, costing, purchase orders, invoicing, line sheets, files, saved vendors, tasks and notes, including Factory Studio for factory accounts (the “Dashboard”); (d) an AI-assisted tech pack drafting tool; (e) production briefs that factories can respond to; (f) factory introductions; (g) Bobbin, an AI assistant inside the Dashboard; (h) optional connections to other services such as Google Calendar, QuickBooks Online, Shopify, Slack and, for consultant and Factory Studio accounts, a read-only bank connection; and (i) free planning tools and content. We may add, change or retire features. If a change materially reduces something you have paid for, we will tell you and you may cancel for a pro-rated refund of the unused period.

3. Accounts

You must be at least 18 to create an account. Keep your login credentials confidential; you are responsible for activity under your account and for the teammates you invite (“seats”). An account admin can add and remove seats and is responsible for their conduct. Tell us promptly at hello@runsheet.tech if you believe your account has been compromised. Logins are handled by Clerk on our behalf; older email-link (“magic link”) access remains valid until you attach it to a login.

4. Your content stays yours

Everything you put into the Dashboard — style records, photos, sketches, tech packs (uploaded or drafted), measurements, costing, files, notes, client and factory records, invoices, line sheets — is your content (“Your Content”). You own it. You grant Runsheet a limited licence to host, process, back up, display and transmit Your Content solely to provide the Service to you and the people you share it with (for example a factory you send a sampling round to, or a buyer you send a line sheet to). We do not sell Your Content, use it to train AI models, or show it to other customers. You can export it, and if you close your account we delete it within 90 days except where we must keep records for legal, tax or fraud-prevention reasons.

You are responsible for having the rights to what you upload. Do not upload content that infringes someone else’s intellectual property, that you are bound to keep confidential without permission, or that is unlawful.

5. AI-drafted tech packs and other generated output

The tech pack drafting tool uses third-party AI models (currently OpenAI) to turn your photo, sketch and description into technical flats, renders, a bill of materials, construction notes and a measurement spec. Generated output is a draft. It can contain errors — wrong measurements, missing components, construction details that do not match your intent. You must review and correct it before relying on it, sending it to a factory or cutting fabric. Runsheet is not liable for production losses, sample costs or delays that result from unreviewed generated output. You own the output to the extent permitted by law; we make no claim to it.

Drafts are metered: paid plans include a monthly allowance and free accounts include a first draft. Unused allowance does not roll over unless your plan says so.

Bobbin and other AI features. Bobbin and the brief tools also use third-party AI models (currently Anthropic) and can be wrong in the same ways. Treat their answers, drafts, suggested messages, plans, price ranges, proposed fees and suggested changes as drafts to check; nothing Bobbin drafts is sent to anyone unless you send it, and nothing it proposes changes your records unless you apply it.

5A. Connected services and automatic paid status

Connections to Google Calendar, QuickBooks Online, Shopify, Slack, the Adobe Illustrator panel, the CLO 3D button and your bank are optional, are made by you, and can be disconnected at any time from Integrations. When you connect a service you authorise Runsheet to access it only as described on the connection screen and in our Privacy Policy, and your use of that service stays subject to its own terms. We are not responsible for outages, changes or data in services we don’t control.

Bank connection. The bank connection is provided through Stripe Financial Connections and is read-only: Runsheet can see transactions but cannot move money. Stripe’s terms for Financial Connections apply to the connection itself. Runsheet marks an invoice paid only when a deposit matches exactly one open invoice for the same amount; deposits that could match more than one are shown to you and nothing is changed. Bank data can be delayed, incomplete or described unclearly by your bank, and a match is not confirmation of who paid you. Paid status in Runsheet, whether set from your bank, from QuickBooks, from a pay link or by hand, is a convenience, not accounting or tax records. Check your bank and books before relying on it, for example before chasing or writing off a client. You can change an invoice’s status at any time.

5B. Saved vendors and suggestions

Vendors you save are Your Content and are private to your account. If you agree that we may add a saved vendor to the directory, you grant us permission to use the business details you send (name, website, category, location and any note you add) to review and list it under Section 6. We decide whether and how to list it, and we never publish your private notes, pricing or contacts.

6. Directory listings and claims

Directory listings are compiled from public sources, industry directories, submissions and the businesses themselves. Unclaimed listings are marked as such and their details are unverified. If you own or represent a listed business you may claim the listing, correct it, request verification, or ask us to remove it by writing to hello@runsheet.tech; we will act on removal requests within 10 business days unless the listing is needed to keep published reviews in context, in which case we will limit it to the business name and location. “Verified” means Runsheet has confirmed the business is real and operating as described at the time of verification; it is not a guarantee of quality, capacity or outcome.

Businesses cannot pay for ranking, placement, or the removal or editing of reviews. Paid factory plans buy visibility features and briefs, never review outcomes.

Listing category and eligibility. Each listing is placed in the category that matches what the business actually does: manufacturer (“factory”), consultant, showroom, supplier and so on. We make that call from what you submit and from public information. Submitting a listing, or an application for a paid plan, does not guarantee that it will be published or accepted. We may review it first and may place it in a different category, merge it with a duplicate, ask for more information, or decline or remove it if it is incomplete, misleading, or not a fit for the Service. A business that genuinely operates in more than one category may be listed in more than one only if we agree to that in writing. A manufacturer may not list itself as a consultant, or the reverse, to gain placement, reviews or briefs meant for the other category. When you submit a listing you confirm that the information is accurate, that you are authorised to submit it for the business, and that you will keep it current. Runsheet is not responsible for losses that follow from information a business submitted about itself.

7. Reviews

Reviews must be first-hand, about a real production, sampling or sourcing engagement, and written by the person who had it (or a member of that team). You may not review your own business, a competitor, or a business you have been paid or otherwise compensated to review. We may ask for evidence of the engagement (an invoice, a tech pack, correspondence) and may decline or remove reviews we cannot reasonably verify, that contain personal attacks, confidential pricing you were bound not to disclose, or unlawful content. We do not edit the substance of reviews. Reviewed businesses may post one public response per review. By submitting a review you grant Runsheet a perpetual, worldwide licence to publish it on the Service and in our own marketing, attributed to the display name you chose.

8. Briefs, introductions and dealings with other users

Runsheet connects brands, consultants and factories. It is not a party to any contract between them. We do not guarantee that a factory will respond to a brief or introduction, that a consultant will accept work, or that any engagement will succeed. Vet the people you work with, agree terms in writing, and use deposits and samples the way you would anywhere. Line sheet orders placed by buyers are orders to you, not to Runsheet; you are responsible for fulfilling them and for any taxes.

9. Plans, payment and cancellation

Paid plans (for example Pro-Studio and Runsheet Core for consultants, Pro-Studio and Token packs, factory plans) are billed by Stripe in US dollars at the price shown at checkout. Subscriptions renew automatically each period until cancelled. You can cancel any time from your account or by emailing hello@runsheet.tech; cancellation takes effect at the end of the current billing period and your data remains exactly as it is. We do not refund partial periods except where the law requires it or where Section 2 applies. Prices may change with at least 30 days’ notice by email; a change never applies to a period you have already paid for. If a payment fails we may downgrade the account to the free plan after reasonable notice; Your Content is never deleted for non-payment.

Factory membership, card on file and free period. To activate a factory listing and see the full detail of production briefs, a factory saves a payment card with Stripe. Saving the card does not charge it. The factory’s free period then runs until the earliest of: 90 days after the card is saved, the first time Runsheet connects the factory with a brand, or the first job the factory wins through Runsheet. When the free period ends, the card is charged automatically at the factory membership price shown at checkout and on our pricing page, monthly or annually as selected, and renews each period until cancelled. A rate we describe as a founding rate stays in place for as long as the membership continues without lapsing. Cancelling before the free period ends means nothing is charged. Cancelling afterwards stops future renewals and takes effect at the end of the period already paid, as described above. Until a card is saved, a factory’s listing may be shown as unclaimed or limited and briefs show only limited detail.

10. Acceptable use

  • No scraping, bulk downloading or reselling of the directory, reviews or other users’ content. The directory is for finding and vetting partners, not for building a competing list.
  • No misrepresenting who you are, which business you represent, or your relationship to a business you review.
  • No uploading malware, probing the Service for vulnerabilities, or interfering with other users.
  • No using Runsheet to send spam or to collect other users’ contact details for unsolicited outreach.
  • No unlawful, infringing, defamatory or harassing content.

We may suspend or close accounts that break these rules, after notice where practical. Where we close an account for a breach, Section 4 still applies to Your Content.

11. Our intellectual property

The Service — its software, design, text, tools, trademarks (including “Runsheet” and the clipboard mark) and the directory as a compilation — belongs to Runsheet or its licensors. You may use it only as these Terms allow. Feedback you give us may be used without obligation to you.

12. Third-party services

We rely on providers to run the Service, including Vercel (hosting), Airtable (data storage), Clerk (authentication), Stripe (payments and Financial Connections), Resend (email), OpenAI (AI drafting), Anthropic (Bobbin, brief tools and the job board resume “check your fit” tool), Intuit QuickBooks, Shopify, Google and Slack (only if you connect them), Vercel Blob (file storage), Squarespace (marketing site) and Make (automation). Their handling of your data is described in our Privacy Policy. Links to third-party sites are provided for convenience; we are not responsible for them.

13. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that directory information, reviews, cost estimates, planning tools, generated tech packs, Bobbin answers, automatically set paid status, job board listings, or a job board fit-check read are accurate, complete, current or suitable for your purpose. Apparel manufacturing carries real financial risk; nothing on Runsheet is professional, legal, financial, engineering, career or hiring advice.

14. Limitation of liability

To the fullest extent permitted by law, Runsheet and SÔZ Studios Atelier will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost production, sample or material costs, or lost data, arising from your use of the Service, even if advised of the possibility. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim and (b) US$100. Some jurisdictions do not allow these limits; in that case they apply to the extent permitted.

15. Indemnity

You will defend and indemnify Runsheet against claims arising from Your Content, your reviews, your dealings with other users, or your breach of these Terms.

16. Copyright complaints

If you believe content on the Service infringes your copyright, email hello@runsheet.tech with the work, the location of the material, your contact details and a statement of good-faith belief and accuracy under penalty of perjury. We respond to valid notices under the DMCA and may terminate repeat infringers.

17. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at hello@runsheet.tech and give us 30 days to try to resolve it. Any dispute not resolved informally will be brought in the state or federal courts located in Orange County, California, and you consent to their jurisdiction, except that either party may seek injunctive relief anywhere to protect intellectual property.

18. Job board

Runsheet’s free job board (runsheet.tech/job-board) lists full-time and interim roles that brands and factories post themselves, plus roles we find on public postings elsewhere. Runsheet is not the employer for any listing and is not a party to any employment relationship that results. We do a basic review before a listing goes live, but we do not vet, verify or guarantee the accuracy of a listing, the poster, or anyone who applies. A listing can be filled or withdrawn without us knowing; self-posted listings expire automatically after 45 days. Use the job board the way you would any public job listing site — verify the employer and the role yourself before sharing personal information or accepting an offer.

The “know someone for this role?” tool sends one email, to the name and email address you give us, about a specific listing; we don’t use that information for anything else. The optional “check your fit” tool sends a resume you upload to a third-party AI model to generate a private, informal compatibility read shown only to you — never to the poster, never to Runsheet, and never stored after that one request. It is not a hiring decision, a guarantee of qualification, or a screening tool used by any employer, and it never affects whether you can apply.

19. Changes to these Terms

We may update these Terms. For material changes we will email account holders or post a notice in the Dashboard at least 14 days before they take effect. Continued use after that date means you accept the new Terms; if you do not, cancel before they take effect.

20. Other companies’ trademarks

Runsheet works with tools made by other companies. Their names are used only to say what Runsheet connects to. Adobe and Illustrator are trademarks of Adobe. CLO is a trademark of CLO Virtual Fashion. Shopify is a trademark of Shopify Inc. QuickBooks is a registered trademark of Intuit Inc. Google Calendar and Gmail are trademarks of Google LLC. Microsoft and Outlook are trademarks of the Microsoft group of companies. Slack is a trademark of Slack Technologies, LLC. Runsheet isn’t affiliated with, endorsed by or sponsored by any of them.

21. Everything else

These Terms are the entire agreement between you and Runsheet about the Service. If any part is unenforceable, the rest stands. You may not assign these Terms; we may assign them to a successor of the business. Our failure to enforce a term is not a waiver. Notices to us go to hello@runsheet.tech; notices to you go to the email on your account.
